Terms and Conditions for Ready Service Solutions (RSS)

Effective Date: December 4, 2023


Welcome to Ready Service Solutions (RSS). These Terms and Conditions (“Terms”) govern your use of our website, services, and related features provided by RSS. By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree, please refrain from using our services.


Acceptance of Terms

By using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.


Modifications to Terms

RSS reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of our services after such changes constitutes acceptance of the updated Terms.


Use of Services

a. You agree to use our services only for lawful purposes and in accordance with these Terms.

b. You are responsible for ensuring that any information provided to RSS is accurate and complete.


Privacy Policy

Your use of our services is also governed by our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.


Online Payments and Payment Terms

a. When making online payments through RSS, you agree to provide accurate and current payment information. All transactions are processed via secure payment processors.

b. Payment must be received in full by the due date specified on your invoice. If payment is not received within 3 days after the due date, a late fee of 25% will be applied to the outstanding balance.

c. If payment remains outstanding as agreed, RSS reserves the right to file a lien against the property associated with the contract.

d. In the event that a check or other payment instrument is returned, a fee equal to 25% of the payment amount will be assessed.


Paperless Billing and Communications

By using our services, you agree to receive billing statements, invoices, receipts, and other communications electronically. It is your responsibility to ensure that the contact information you provide is current and accurate.


Work Completion and Touch-Ups

a. Upon completion of work, you have a 3-day grace period to report any issues, request touch-ups, or identify deficiencies.

b. After this period, all work is deemed final, and any additional services or touch-ups may incur extra charges.


Permits and Regulations

a. RSS will obtain all necessary permits and approvals required for the services provided, subject to any applicable fees.

b. Clients will be responsible for any permit-related costs unless otherwise agreed in writing.


Materials and Subcontractors

a. RSS reserves the right to select materials and subcontractors as it deems appropriate unless otherwise specified in the contract.

b. Client-Provided Materials: If you supply your own materials, RSS reserves the right to inspect them. Should the provided materials be inadequate, non-compliant, or delayed—resulting in project delays or lost man hours—RSS may, at its discretion, source and install the appropriate materials at its own expense and back charge you for the associated costs. Additionally, RSS may assess fees for lost man hours caused by delays in client-provided material.


Intellectual Property

a. All content on the RSS website, including text, graphics, logos, and images, is the property of RSS and is protected by intellectual property laws.

b. You may not reproduce, distribute, modify, or create derivative works of our content without the express written consent of RSS.


Termination of Services

RSS reserves the right to terminate or suspend your access to our services, at its sole discretion, without prior notice for any violation of these Terms.


Limitation of Liability

RSS shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use or inability to use our services.


Governing Law

These Terms are governed by and construed in accordance with the laws of the State of South Dakota. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in South Dakota.


Dispute Resolution

In the event of any dispute arising from these Terms or our services, both parties agree to engage in good faith negotiations to resolve the matter. If a resolution cannot be reached, the dispute may be referred to mediation or arbitration as specified in your contract with RSS.

Disclaimer and Service Details


Introduction:

Ready Service Solutions LLC (“RSS” or “the Company”) is a fully licensed and insured provider of contracting and handyman services specializing in new construction, custom design-build, and remodeling. By engaging with RSS, you acknowledge and agree to the terms set forth below.


Scope of Services:

RSS offers a broad range of services aimed at delivering high-quality construction and remodeling solutions. While we strive for excellence, the inherent nature of construction work means that outcomes may vary based on on-site conditions and unforeseen circumstances.


Estimates and Quotes:

All estimates or quotes provided by RSS are based on the information available at the time of assessment. Final costs and project timelines may vary due to on-site conditions or other factors. Clients are encouraged to seek clarification on any discrepancies before work commences.


Liability:

RSS is not liable for any damage, injury, or loss incurred as a result of our services. Clients are responsible for securing their property and possessions during the service period. RSS does not assume responsibility for pre-existing conditions or latent defects that may be discovered during the project.


Materials and Subcontractors:

RSS reserves the right to use materials and subcontractors of its choice unless otherwise specified in the contract. As noted above, if client-provided materials are found to be inadequate, non-compliant, or delayed—resulting in project delays and lost man hours—RSS may correct these issues at its own expense and back charge you for the associated costs, including fees for lost man hours.


Cancellation and Rescheduling:

RSS reserves the right to cancel or reschedule services due to unforeseen circumstances, including inclement weather, emergencies, or material shortages. Clients will be notified promptly of any changes.


License and Insurance:

RSS is a fully licensed and insured service provider. Licensing and insurance details are available upon request and are subject to state regulations.


Dispute Resolution:

In the event of a dispute, both parties agree to engage in good faith negotiations to resolve the matter. If a resolution cannot be reached, the dispute may be referred to mediation or arbitration as specified in the contract.


Conclusion:

By engaging with Ready Service Solutions LLC, you confirm that you have read, understood, and agree to these Terms and Conditions and associated disclaimers. These Terms are subject to change without prior notice, and it is your responsibility to review the most current version available on our website. RSS reserves the right to refuse or discontinue services at its sole discretion.


 

Subcontractor Obligations & Penalties

  1. Quality Assurance and Timeliness
     
    • Subcontractors engaged by RSS must adhere to all project specifications, timelines, and quality standards outlined in their agreement. Failure to meet these standards constitutes a material breach.  
    • RSS reserves the right to inspect all work performed by subcontractors. Non-compliant work must be corrected at the subcontractor’s expense within 48 hours of notification.

  1. Financial Penalties for Delays or Deficiencies
     
    • Delays: Subcontractors will incur a penalty of 1.5% of the total subcontract value per day for each day beyond the agreed-upon deadline.  
    • Rework Costs: Subcontractors are liable for 100% of costs (labor, materials, delays) incurred by RSS to correct substandard work.  
    • Cleanup & Damages: Subcontractors must leave job sites "broom clean" daily. Failure to do so will result in a $500/day fee until resolved. Property damage (e.g., paint spills, structural harm) caused by subcontractors will be billed at 150% of remediation costs.

  1. Payment Terms
     
    • Payments to subcontractors are contingent upon certification of satisfactory completion by RSS. No payment shall be issued for incomplete, defective, or late work.  
    • RSS may withhold payment or issue back charges for penalties, client credits, or costs arising from subcontractor failures.

  1. Termination for Cause
     
    • RSS may immediately terminate a subcontractor’s agreement for:  
      • Failure to meet quality/timeline standards after written notice.  
      • Actions that endanger client property, safety, or RSS’s reputation.
    • Upon termination, subcontractors forfeit rights to further payment and must remove all personnel/equipment within 24 hours.

Indemnification & Liability

  1. Subcontractor Liability 
    • Subcontractors indemnify RSS against all claims, damages, or losses (including legal fees) arising from their work, delays, or negligence.  
    • Subcontractors must maintain general liability insurance ($1M minimum) and workers’ compensation coverage, naming RSS as an additional insured.

Dispute Resolution

  1. Governing Law 
    • All subcontractor agreements are governed by South Dakota law. Disputes will be resolved through binding arbitration in Minnehaha, SD, with costs borne by the losing party.

Client Protections

  1. Client Credits for Subcontractor Failures 
    • RSS may issue client credits or discounts for subcontractor-caused delays/damages, with such costs fully back-charged to the subcontractor.  
    • Example: A $10,000 client credit for subcontractor delays becomes a $10,000 liability to the subcontractor, plus administrative fees.

Materials & Workmanship

  1. Compliance with Standards 
    • Subcontractors warrant that all materials and workmanship comply with local codes, industry standards, and project plans. Non-compliant work voids all payment obligations.

Termination Notice

  1. Trespass & Abandoned Property 
    • Terminated subcontractors are barred from RSS job sites. Unclaimed tools/materials after 24 hours will be disposed of, with storage/removal fees billed to the subcontractor.

Acknowledgment
By engaging with RSS, subcontractors and clients agree to these terms. RSS reserves the right to amend these Terms at any time, with updates effective immediately upon posting.

Ready Service Solutions (RSS) Employee Handbook Addendum  

Progressive Discipline Policy

At Ready Service Solutions, we prioritize quality craftsmanship and client satisfaction. To uphold these standards, RSS employs a three-step disciplinary process for policy violations, while reserving the right to terminate employment at will for severe misconduct or repeated failures.  

1. Smoking Policy

  • Designated Areas Only: Smoking is prohibited on client properties or visible job sites.  
  • Violations:  
    1. First Offense: Verbal warning + 1-hour pay forfeiture (awarded to reporting employee).  
    2. Second Offense: Written warning + 4-hour pay forfeiture.  
    3. Third Offense: Termination.

2. Site Cleanliness

  • Daily “Broom Clean” Requirement: Worksites must be spotless and hazard-free daily.  
  • Violations:  
    1. First Offense: Verbal warning + $25 deduction per day until resolved.  
    2. Second Offense: Written warning + $50 deduction per day.  
    3. Third Offense: Termination.

3. Tools & Equipment Accountability

  • Loss/Neglect: Employees are financially responsible for lost/damaged tools.  
    • Replacement Cost + 10% Fee applies for all incidents.
  • Discipline for Negligence:  
    1. First Incident: Verbal warning.  
    2. Second Incident: Written warning.  
    3. Third Incident: Termination.

  • Intentional Damage/Theft: Immediate termination + legal action.

4. Quality Craftsmanship

  • Defects (e.g., sloppy cuts, improper installations):  
    1. First Offense: Verbal warning + mandatory retraining.  
    2. Second Offense: Written warning + 8-hour pay deduction.  
    3. Third Offense: Termination.

5. Client Interactions

  • Unprofessional Conduct (rudeness, dishonesty):  
    1. First Offense: Verbal warning.  
    2. Second Offense: Written warning + 4-hour pay deduction.  
    3. Third Offense: Termination.

6. At-Will Employment

  • RSS reserves the right to terminate employment at any time, with or without cause, bypassing progressive discipline for:  
    • Theft, substance use on-site, or safety violations.  
    • Chronic absenteeism or failure to meet quality standards.
